    A highly regarded expert witness and legal consultant, Professor Mark R. Lee is an expert in Corporations, Unincorporated Business Organizations, Securities Regulation and Antitrust – all of which he has taught for more than 40 years. Professor Lee has taught at 11 law schools in the United States and four in Europe.


    He has served as an expert witness in cases all over the United States, from Philadelphia to Los Angeles, from Anchorage to Dallas. Even lawyers in Hong Kong have retained Professor Lee. He has provided sworn testimony on a wide variety topics, including fiduciary duties, corporate governance, dissolution of limited liability companies and partnerships, securities disclosures, and what constitutes a security. He has consulted 0n a wide variety of matters, including freeze-outs, hostile takeovers, organizing start-ups, private securities placements, sale of restricted securities, distributor terminations and payments by large pharmaceutical companies to producers of generic drugs.


    Professor Lee is the author of two books and numerous scholarly articles. The books are Organizing Corporate and Other Business Enterprises (Lexis 2006) (updated annually) with L. Gross and Antitrust and Local Government (Greenwood Press 1985).

    Contra its lease, the tenant of a hangar, an LLC, leased space to other airplane owners. The LLC defended on the ground that it had made these owners members. I testified that these owners were not members because they lacked equity and votes.
